Legal Counsel Governance

• Review and maintain articles of association, organisational regulations and internal governance policies in line with business activities and applicable legal and regulatory requirements.
• Advise business units on corporate law matters, including responsibilities, decision-making processes, governance structures and participations.
• Review agendas and documentation for the Board of Directors and Executive Management as part of the business control process.
• Act as board secretary for a subsidiary or affiliated company and support related governance processes.
• Manage commercial register filings, powers of attorney and coordination with notaries, and advise representatives serving on external committees on their rights, duties and potential liability.

• Fluent German is mandatory.
• University degree in Law, ideally with a specialisation in corporate law.
• Professional experience in a Legal, Compliance or Governance function with strong exposure to corporate governance, corporate law and internal regulatory frameworks.
• Experience supporting board and executive management governance processes, subsidiary governance, or comparable corporate governance activities.
• A pragmatic, business-oriented approach with the ability to work independently, prioritise effectively and collaborate confidently with stakeholders across organisational levels.
