Legal Counsel

• Draft, review, negotiate and manage a broad range of commercial agreements, including software licences, service agreements, consulting contracts, subcontractor agreements, project-specific contracts and NDAs.
• Lead and support major public tenders and government contracts, review tender documentation for compliance with internal standards, and assess contractual and commercial risks.
• Advise business stakeholders across multiple jurisdictions on commercial and legal matters, balancing legal requirements with practical business needs.
• Support M&A transactions through due diligence, transactional document review and negotiation, closing activities, and post-acquisition legal integration.
• Assist with corporate legal administration, including board documentation, resolutions, regulatory filings, policy development and training.

• Several years of experience in an international law firm or in-house legal department, with strong commercial contracting expertise.
• Proven experience drafting, reviewing and negotiating complex commercial agreements, including tender and public procurement matters.
• Ability to manage multiple projects and competing deadlines, conduct legal research across jurisdictions, and provide pragmatic legal advice to stakeholders.
• Strong independent working style, sound judgement and effective written and verbal communication skills in an international environment.
• Admission to practise law in at least one US state and/or a Latin American country is preferred, with strong US legal experience particularly desirable.
• Bilingual English and Spanish are preferred.
• Desirable: Prior M&A experience, including due diligence, transactional negotiations and post-close integration.
• Desirable: Experience in software, technology or telecommunications, and familiarity with Latin American markets such as Mexico and Peru.
