Alpinum Solutions is the leading Alternative Legal Service Provider (ALSP) in Switzerland, Germany and Liechtenstein, specializing in Interim Legal & Compliance workforce solutions for complex mandates.
For our client, we are looking for a Legal Counsel to support their legal team during a carve-out and post-acquisition integration.
Key Responsibilities
- Review and legal assessment of global vendor/supplier agreements
- Identify legal risks and contractual red flags
- Negotiate vendor agreements where required
- Support novation, assignment and separation of contracts following the carve-out
- Work closely with the business during post-closing integration
- Provide post-merger / post-integration legal support
Experience & Qualifications
- 3–5 years of experience
- Strong experience reviewing and negotiating commercial/vendor agreements
- Procurement/vendor contract experience
- Experience supporting contract transitions (assignment/novation) is an advantage
- M&A exposure is nice to have
- Strong English drafting and negotiation skills
