Legal Counsel - Corporate Governance

• Review the current corporate governance setup and identify gaps, particularly for the Swiss entities and globally. 
• Manage Swiss corporate housekeeping, including board/shareholder meetings, minutes, resolutions, UBO information, and related documentation.
• Establish standardized governance processes, procedures, templates, and tracking mechanisms globally
• Support group-wide governance assessments, including board composition and entity-level governance requirements.
• Track relevant cross-border activities, regarding potential tax and governance risks.
• Coordinate implementation with local and global stakeholders and establish a clear roadmap for ongoing governance.

• Legal qualification
• Strong experience in corporate governance and corporate housekeeping.
• Strong project management and process implementation skills.
• Experience working in an international/multi-entity environment.
• Ability to combine higher-level assessments with hands-on administrative execution.
• Experience implementing governance processes across multiple entities.
