Terms & Conditions
Scope & contracting entities
These Terms and Conditions ("Terms") govern the contractual relationship between
Alpinum Solutions AG, Zurich, Switzerland; or
Alpinum Solutions GmbH, Frankfurt am Main, Germany;
("Alpinum Solutions"), and the client ("Client"). These Terms apply to all executive search, permanent recruitment, staff leasing and freelancer placement assignments accepted and carried out by Alpinum Solutions. The contracting entity is the company named in the offer or engagement confirmation. Conditions expressly agreed in writing or by email between Alpinum Solutions and the Client take precedence over these Terms.
Staff leasing & freelancer placements
For staff leasing, the terms and fees are set out in a separate Staff Leasing Agreement between the Client and Alpinum Solutions. For freelancer placements, they are set out in a separate placement agreement. Once concluded, these agreements take precedence over these Terms. Until then, these Terms apply. If no such agreement is concluded, these Terms continue to apply. The placement fee for executive search and permanent recruitment is governed by clause 3.1.
Placement fee
For executive search and permanent recruitment assignments, the Client shall pay Alpinum Solutions a success-based placement fee of 30% of the candidate's gross total compensation for the first year of employment. For part-time positions, the fee is based on the agreed working percentage.
Fee due date & notification
The placement fee under clause 3.1 is due in CHF for Alpinum Solutions AG or EUR for Alpinum Solutions GmbH, excluding VAT, once a valid employment contract is concluded as a result of the introduction or placement, regardless of the actual start date. If the contract is subject to a condition precedent, the fee becomes due when that condition is met. The Client shall notify Alpinum Solutions within 5 calendar days of entering into a contract with an introduced candidate and provide the details needed to calculate the fee. This notification duty also applies to temporary and freelance engagements.
Expenses
Expenses to be borne by the Client (e.g. advertising or candidate expenses) require the Client’s prior written approval and are invoiced separately at cost, payable within 14 calendar days of receipt of the invoice.
Subsequent & indirect engagements
The Client shall also pay the agreed fee if (a) a person introduced by Alpinum Solutions enters into a contractual relationship with the Client, directly or indirectly, within 12 months of the first introduction, or (b) the Client introduces that person to a third party and a contractual relationship is established there within the same period. This expressly covers permanent employment, temporary assignments and self-employed freelance or consulting work, including through the person’s own company or another service provider. The fee applies even if the person was initially rejected, declined the offer or takes a different role or contract type from the one originally intended. The introduction or placement must have contributed to the contract. The amount follows clause 3.1 for permanent recruitment, the Staff Leasing Agreement for staff leasing and the placement agreement for freelancers. Transfers following staff leasing remain subject to the statutory limits and the transfer terms in the Staff Leasing Agreement.
Refunds
For permanent recruitment, Alpinum Solutions refunds the placement fee if the candidate does not start or notice of termination is received before the start date or within the first three months of employment. The refund is 100% for termination before the start date or failure to start, 50% in the first month of employment, 25% in the second month and 12.5% in the third month. The relevant date is receipt of notice, not the final working day. The Client must notify Alpinum Solutions by email within 10 working days of learning of the event.
Candidate suitability & responsibilities
Alpinum Solutions is committed to carefully reviewing and analyzing a candidate's suitability for the anticipated role. However, Alpinum Solutions' services do not replace the thorough examination of the candidate by the Client. For direct employment and freelance engagements, the Client is responsible for candidate selection, the performance of duties transferred to the candidate, arranging any necessary and legally permitted medical examinations, obtaining and/or verifying all required (working-) permits and references. For staff leasing, responsibilities are governed by the Staff Leasing Agreement and applicable law.
Candidate data & privacy
The introduction of candidates and the sharing of their data are strictly confidential. Candidate files may be processed only as necessary and legally permitted for recruitment and the resulting employment or engagement. If a candidate is not hired or engaged, the files must be returned or deleted unless a lawful basis permits further retention. Disclosure to third parties requires a lawful basis. The applicable data protection rules, in particular Swiss data protection law and, where applicable, the GDPR, must be observed.
Confidentiality
The mutual confidentiality obligation applies to any non-public information exchanged between the Client and Alpinum Solutions during contract performance.
Governing law & jurisdiction
The contractual relationship between the Client and Alpinum Solutions is subject to
for Alpinum Solutions AG – Swiss law and Zurich as the exclusive place of jurisdiction;
for Alpinum Solutions GmbH – German law and Frankfurt am Main as the exclusive place of jurisdiction.
The jurisdiction agreement applies to the extent permitted by law. Mandatory jurisdictions and legal requirements remain unaffected.
Geltungsbereich & Vertragspartner
Diese Allgemeinen Geschäftsbedingungen ("AGB") regeln die vertraglichen Beziehungen zwischen
Alpinum Solutions AG, Zürich, Schweiz; oder
Alpinum Solutions GmbH, Frankfurt am Main, Deutschland;
